IFERG and IGA Board of Directors vacancies - nominations now open

The IFE is seeking nominations for an IFERG vacancy and two IGA vacancies on the IFE's Board of Directors.

Requirements of an IFE Board Director

Directors of the IFE are also Trustees of the charity.  Their responsibilities include:

  • Ensuring the IFE’s overall strategic direction is in line with its aims and the requirement to provide public benefit
  • Good governance, including legal and regulatory compliance
  • Due diligence to ensure the financial health and satisfactory financial audit of the Institution
  • Corporate risk identification and management
  • Review/approval of annual accounts

The IFE is registered as a company and charity in Scotland, which means that Directors are required to act in accordance with the Companies Act 2006 and the Charities and Trustee Investment (Scotland) Act 2005. In addition, Trustees may have portfolios of work based on key areas of IFE activities, taking a strategic lead in an area identified by the Board and assigned to them by the Chairman.

The nominations and voting process will be as follows:

Nominations by the IGA for Directors 2019-2022

Candidates competent to discharge the roles described above should ensure that the following forms are emailed to the Company Secretary:

IGA-DIR-Nominee Mar 19 – to be completed by the nominee;

IGA-DIR-Proposer Mar 19 – to be completed by the nominee’s proposer; and

IGA-DIR-Seconder Mar 19 – to be completed by the nominee’s two seconders (a separate form is needed for each seconder).

The closing date for receipt of all nomination forms is 12noon GMT on Wednesday 27th March 2019.  Late nominations will be disqualified.

Nominations by IFERG for Directors 2019-2022

Candidates competent to discharge the roles described above should ensure that the following forms are emailed to the Company Secretary:

IFERG-DIR-Nominee Mar 19 – to be completed by the nominee;

IFERG-DIR-Proposer Mar 19 – to contain details of the nominee’s proposer; and

IFERG-DIR-Seconder Mar 19 – to contain details of the nominee’s two seconders.

The closing date for receipt of all nomination forms is 12noon GMT on Wednesday 27th March 2019.  Late nominations will be disqualified.

Nominations Committee

In accordance with our Articles of Association, no member may be elected to the Board without having first been recommended for election by the Nominations Committee, so all properly completed and submitted nominations will be passed to that Committee for their consideration.

The Board has decided that the Committee should look for evidence that potential candidates for election to the Board satisfy a number of criteria relating to their knowledge and experience. (These are listed in the forms IGA-DIR-Nominee Mar 19 and IFERG-DIR-Nominee Mar 19.)  As you will see, some of these criteria are shown as being essential whilst others are shown as being desirable. It is for nominees to demonstrate that they satisfy these criteria. If the Committee cannot see evidence on the Nominee form that a criterion is satisfied, they will mark it as “not satisfied”. If that particular criterion is shown as being essential, a single “not satisfied” mark will disqualify the nominee.

Shortly after the closing date for nominations, the names of the recommended candidates will be sent to IGA and IFERG representatives via email, together with further information about the ballot process.
